1) The Grantor is the owner of certain products (the “Products”) manufactured in Italy;
2) The Licensee intends to distribute in the Territory (defined below) Products and desires a licence from the Grantor for same, and the purpose of this agreement is that the Grantor shall provide to the Licensee licences to be the exclusive distributor of the Products that owned or controlled by the Grantor to the extent necessary to enable the Licensee to distribute and sell the Products in the Territory;
IN CONSIDERATION of the mutual promises and covenants contained in this agreement, and other good and valuable consideration, the receipt and sufficiency of which is acknowledged, the parties agree as follows:
1. Definitions
In this agreement,
